Terms of service

These terms govern your use of this website and, where you engage us, the Dispatch outreach service. Please read them before using either.

Acceptance of terms

By accessing this website or using the Dispatch service, you accept and agree to be bound by these terms. If you are agreeing on behalf of a company or firm, you confirm you have the authority to bind it, and "you" means that organization. If you do not agree, do not use the site or the service.

Description of the service

Dispatch AI Agents provides a managed client-acquisition and outreach service for business brokers, M&A advisors, commercial real estate firms, managed IT providers, and similar professional firms. The service includes:

The service is operated by our team. It is not a self-serve software product, and it does not require you to maintain an account or log in to a dashboard.

Your approval, your name

Outreach goes out under your name, and you control it. You approve the targeting, you approve a sample of prospects before a campaign scales, and you approve the sequences before anything sends.

Because messages are sent in your name, you are responsible for ensuring that what you approve is accurate and appropriate for your market, including any licensing, advertising, or professional-conduct rules that apply to your profession. We will flag concerns we notice, but we are not your compliance department and we do not provide legal advice.

We may decline or stop any campaign that we judge to fall into these categories, or that would put our sending infrastructure or reputation at risk.

Fees, term, and cancellation

The service is a recurring monthly subscription, billed automatically to the card saved when you pay your first invoice. There is no setup fee. Engagements are offered either month to month or on a committed term.

How the billing dates work

This is the part worth reading twice, because the first cycle is not a calendar month.

Your service start date is the date your first payment is processed. That first payment covers account setup and mailbox warm-up, which take roughly the first 30 days, plus your first full month of active outreach — so it covers approximately your first 60 days.

Your second payment falls at approximately day 52, about 8 days before your second month of outreach begins, because building the next month’s campaign takes roughly 8 days from the time you pay. Every payment after that is charged on that same calendar date each month. If your second payment falls on 15 August, the following charges are 15 September, 15 October, and so on.

Your billing date is therefore a fixed day of the month set by when you started, not the first or last day of the month.

Month-to-month engagements

These renew automatically each month until cancelled. You can cancel at any time — there is no minimum term and no cancellation fee. Give us written notice at least 5 days before your next scheduled billing date and you will not be charged for the following month. Notice inside those 5 days still ends the engagement; the next charge has already been committed by then, and it takes effect at the end of the month it covers.

Committed-term engagements

A committed term buys a reduced monthly rate in exchange for staying for the full term. The two go together: a committed term cannot be cancelled part-way through, and you remain responsible for every committed payment even if you stop using the service early. Your card is charged automatically for each of them.

After your final committed payment, the engagement continues month to month at the standard rate, and the month-to-month notice above applies from that point on. If you would rather keep the committed rate, tell us in writing at least 5 days before your first billing date after the committed term ends and we will extend it for another term at that rate.

Notice, refunds, and pausing

Send cancellation notice in writing to eric@dispatchagents.com. Cancellation takes effect at the end of the period your most recent payment covers. Fees already paid are not refundable and we do not prorate partial months, because the research and sending work for that period is performed up front.

One refund exists. If we cannot identify prospect profiles that are a genuine fit for your business, you can have your first month’s fee back — but you must ask in writing before we begin drafting your outreach messaging. Once drafting has started, that fee is committed. The refund is limited to the first month’s fee; later monthly fees are not refundable.

Plans cannot be paused. You can cancel and start again later, but a campaign does not pause and resume, because consistent monthly sending is what keeps your domain deliverable.

What you need to do

If you choose to review a month’s prospects and messages before they go out, complete that review within 5 business days of receiving them. If it is not done in that window we may launch the campaign as prepared, so your timeline and results are not held up.

Where terms conflict

If you have signed a separate written agreement with us, that agreement governs the commercial terms of your engagement, including its rate, length, and notice period, and these terms apply to everything it does not cover.

Working with other clients in your market

We do not sell territories. We may run campaigns for other clients in the same or similar industries and areas as yours, and overlap can happen where targeting is similar. Every client’s prospect list is built from scratch for that client’s niche and market, and we suppress the relationships you give us so your campaign does not approach someone you already know.

Referral credit

Current clients in good standing earn 200 free prospects for each qualifying referral — a new client who has not worked with us before, signs an agreement, and pays for at least one full month. Credits are fulfilled inside your existing campaign, have no cash value, are not transferable, and cannot be exchanged for a discount or a refund on past invoices. We may change or end the referral program at any time, and referrals already earned will still be honoured.

No guarantee of results

We do not guarantee any particular outcome. We do not guarantee a number of replies, meetings, listings, signed engagements, or closed transactions, and we do not guarantee that any specific message will be delivered or read.

Any results described on our website or in our materials, including results attributed to a named client, reflect that client's experience in that client's market. Every market, niche, and broker is different, and results vary. Nothing on our website is a promise of comparable results, a valuation, or professional, legal, tax, or financial advice.

Intellectual property

Once you have paid for it, the work product is yours: the prospect data, the contact information, and the email content written for your campaign all become your property. You keep ownership of the information you give us and of the relationships you develop with prospects.

What stays ours is the machinery behind it — the site, the Dispatch name and marks, and our proprietary systems, methodologies, research process, prompts, and tooling. Nothing in these terms transfers those to you.

Privacy

Our handling of personal information is described in our privacy policy, which forms part of these terms. In running a campaign for you, we act on your instructions with respect to prospect data, and each of us is responsible for meeting the data protection obligations that apply to our own role.

Service availability

We aim to provide continuous availability but cannot guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the site or service at any time. Email delivery depends on third-party systems and receiving mail servers that are outside our control.

Limitation of liability

To the fullest extent permitted by law, Dispatch AI Agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of the site or the service.

To the fullest extent permitted by law, our total liability for any claim relating to the service is limited to the total fees you have paid us.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Termination

Either party may end an engagement in line with the cancellation terms above. We may suspend or terminate access immediately, without prior notice, if you breach these terms, if your use puts our infrastructure or reputation at risk, or where required by law. Sections that by their nature should survive termination will survive it.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute, and you consent to their jurisdiction.

Changes to these terms

We may modify these terms at any time. When we do, we will change the "last updated" date at the top of this page. If a change is material, we will make reasonable efforts to notify current clients by email. Continuing to use the service after a change takes effect means you accept the revised terms.
